Customer Terms of Use
These Terms are between you and Placefull Acquisition Inc, a Washington corporation ("PlaceFull," "we," "us"). They govern your use of the PlaceFull booking software (the "Platform"), whether or not you create an account. By completing a checkout, joining a waitlist, or signing in, you accept the version of these Terms in force at that time.
Your purchase is with the studio named at checkout, not with us. The studio provides the class, appointment, rental, course, pass, or membership, sets its prices and its cancellation, refund, and no-show policy, and is responsible for its staff, premises, and services.
1. What PlaceFull is
We provide booking software to studios, venues, and similar businesses ("studios"). We run the technology: availability, checkout, receipts, booking links, waitlists, and the messages that go with a booking.
We are a technology provider. We are not the studio, we do not deliver what you book, we are not a party to your agreement with the studio, and we are not the merchant of record.
2. Payments
When you pay on the Platform, you pay the studio, on the studio's own account with its payment processor (the third party that processes the studio's card payments). The charge is the studio's, and refunds come from the studio. We never take possession of your payment.
We may receive a booking fee on that charge. Some studios absorb it; others show some or all of it as a line labeled "Booking fee." The total shown at checkout is the total you pay.
Card details are handled by the studio's payment processor and are not stored by us. Paying also engages the payment processor's terms and, if you use a digital wallet, the wallet provider's terms.
When you book, the studio may keep your card on file with its payment processor and charge it later for a balance or anything you add, and you will get a receipt for each charge.
Sales tax, where it applies, is charged at the rate the studio has set. The studio is responsible for collecting and remitting tax.
Some listings collect a deposit at checkout and the balance later. Checkout shows what is due now and what is due later; the studio collects the balance as described there.
3. Bookings, changes, and refunds
The studio's policy governs pricing, cancellation, rescheduling, refunds, no-shows, deposits, credits, and membership benefits. The Platform shows that policy before you pay and applies it: inside the studio's cancellation window you may cancel or reschedule online; after it closes, you may still release your seat, but there is no automatic refund and no online reschedule. The studio may always refund you directly.
A checkout hold is not a purchase. If it lapses before you pay and the seat sells, you are not charged and you must choose another time.
A waitlist entry is a request, not a booking. If a seat opens, we hold it for a limited time and email you a link to pay. If you do not claim it in time, it goes to the next person.
Credits from a pass are spent when a booking confirms and are returned according to the studio's policy. A renewing membership is charged to the card you saved, on the studio's account, at the start of each period until you cancel; change the card or cancel from your membership page.
Questions about a class, a refund, or a charge go to the studio. If you believe a charge is in error, contact the studio before disputing it with your card issuer.
4. Your account and booking links
You may check out as a guest with a name and email. Signing in is optional and uses a one-time code sent to your email; there is no password. You are responsible for activity under the email you use. If that email belongs to an existing account, we may require you to sign in to it.
Booking, cart, and membership links are keys. Anyone with the link can view it and, where the page allows, cancel, reschedule, or pay, without signing in. Treat a link like a ticket. Sign out on shared devices; signed-in sessions persist until you sign out or they expire.
You must be 18 or older to check out. An adult may book on behalf of a child or another person and is responsible for that booking.
5. Acceptable use
Use the Platform only to browse, book, pay, and manage your bookings. Do not:
- pay with a method you are not authorized to use, or dispute a charge you know is valid;
- use another person's booking, cart, or membership link;
- book seats to block availability for others or to resell, unless the studio permits it;
- scrape, probe, overload, reverse-engineer, or interfere with the Platform, or access it with automated tools;
- use the Platform for fraud, harassment, or anything unlawful.
6. Suspension
We may suspend, restrict, or refuse access to the Platform, in whole or part, with or without notice, where we reasonably believe there is fraud, abuse, a breach of these Terms, a security or technical need, or a studio has asked us to block you from its pages. Suspension affects your access to the software. It does not by itself cancel a booking the studio has accepted, refund a purchase, or change the studio's obligations to you.
7. Disclaimer and limitation of liability
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, and do not guarantee uptime, that a hold lasts, that a waitlist offer reaches you in time, or any particular outcome.
We are not liable for the studio's services, premises, staff, scheduling, or policies; for a class the studio cancels or changes; for a refund the studio does not issue; for the accuracy of a studio's listing; or for delays caused by payment processors, wallet providers, email delivery, or hosting.
To the fullest extent permitted by law, our total liability arising out of or relating to the Platform is limited to the greater of US $100 or the amount you paid for the booking that gave rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost bookings.
Nothing in these Terms limits rights that cannot be waived by law, including statutory consumer rights and liability for death or personal injury caused by our negligence, fraud, or willful misconduct.
8. Privacy
Our Privacy Policy explains what we collect and how it is used. In short: the studio you book with receives your details as its own controller, we process them to run the software, the studio's payment processor handles your card, and we record your acceptance of these Terms.
9. Text messages
When you tick the box at checkout or turn on texts in your account, PlaceFull sends text messages about your booking with the studio you booked with — your confirmation, a reminder on the day, and any change or cancellation. We send no marketing texts. Message frequency varies with your bookings. Message and data rates may apply. Reply STOP to cancel or HELP for help; you can also reach us at hello@placefull.ai. Wireless carriers are not liable for delayed or undelivered messages. Texting is never required to book — see our Privacy Policy for how we handle your number. If you text PlaceFull support at (720) 999-9638, we reply only about your question, from that number; reply STOP to end those texts.
10. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute with us that cannot be resolved informally will be brought in the state or federal courts located in Denver, Colorado, or in small-claims court where eligible, and you consent to that venue. To the extent permitted by law, each of us waives a jury trial and agrees to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.
Before filing a claim, email legal@placefull.com with a description of the issue; we will try to resolve it with you within 30 days.
11. Changes, and general terms
We may publish updated Terms as a new version at /terms. Each checkout records the version you accepted, and a new version applies to your next checkout. We may change or discontinue features of the Platform at any time.
If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the Privacy Policy, and the version record at checkout are the entire agreement between you and us about the Platform. They do not replace the studio's own policies, waivers, or terms.
12. Contact
For the booking, the class, a refund, or your record with the studio: contact the studio. Its details are on your confirmation.
